IMPORTANT — Please Read
Ordino is not a registered financial adviser, investment dealer, financial planner, or securities dealer under any Canadian federal or provincial law, including applicable provincial securities legislation.
Ordino is also not: a bank, trust company, credit union, or other deposit-taking financial institution within the meaning of the Bank Act (Canada) or any provincial legislation; a consumer reporting agency under applicable provincial consumer reporting legislation; a mortgage brokerage or mortgage administrator; a registered portfolio manager; a credit counsellor or debt management service; a debt settlement company; a credit repair organization; or a loan servicer. Ordino provides financial data aggregation and personal budgeting tools only.
Nothing in the Service — including outputs generated by the Vero AI assistant, transaction categorizations, budget analyses, spending summaries, savings projections, or any other feature — constitutes financial advice, investment advice, tax advice, legal advice, or any other professional advice.
Ordino does not create a fiduciary, advisory, or professional relationship with you. You are solely responsible for all financial decisions you make. Consult a qualified financial professional before making any financial decision.
Vero is not a financial advisor. Nothing Vero says is financial advice. Vero may make mistakes — always verify.
Vero is Ordino's AI-powered financial data guide. Before you first use Vero, you will be shown a disclosure screen in the app. By tapping "Start chatting with Vero" on that screen, you acknowledge and agree to all of the following:
| Tier | Price (CAD) | Bank Connections | Vero AI Tokens | Transaction History (Displayed) | Receipt Photos (Displayed) |
|---|---|---|---|---|---|
| Basic | $5.99/mo | 0 | 500,000/billing cycle | 24 months | 18 months |
| Standard | $12.99/mo | 1–3 | 500,000/billing cycle | 48 months | 36 months |
| Premium | $17.99/mo | 4–5 | 1,000,000/billing cycle | 84 months | 60 months |
New users may be eligible for a 30-day free trial. No charge will be applied during the trial period. If you do not cancel before the trial ends, your subscription will automatically begin and your payment method will be charged at the applicable monthly rate. You may cancel at any time during the trial at no cost.
All prices are in Canadian dollars. Applicable taxes (GST, HST, PST, or other provincial sales taxes as required by your province of residence) will be calculated and displayed at checkout as a separate line item.
Subscriptions are billed monthly on a recurring basis on the anniversary of your signup date. Billing is managed through RevenueCat. Depending on how you access the Service, payment is processed by Stripe (web), Apple App Store (iOS), or Google Play (Android). If we increase subscription prices, we will notify you by email or in-app notification at least 30 days before the new price takes effect.
Vero AI token limits reset on the first day of each billing cycle (midnight Eastern Time). If you cancel your subscription, your remaining token balance stays available until the end of your current billing period but will not reset again.
Cancel at any time. Depending on your platform, you will be redirected to the appropriate cancellation page — Stripe billing portal (web), Apple App Store subscription settings (iOS), or Google Play subscription settings (Android). Access continues until the end of your current paid billing period.
Subscription fees are non-refundable for the current billing period. This does not affect your statutory cancellation rights under applicable provincial consumer protection legislation.
After your subscription ends, you have a 30-day grace period to log in and export your data (Settings > Data Export). After this period, your account and data will be deleted in accordance with our Privacy Policy. Transaction data is not deleted when you disconnect a bank account — it is retained for the duration of your account. Data is only permanently deleted following account deletion.
We may change prices on 30 days' notice by email or in-app notification. Your continued use after the notice period constitutes acceptance.
If your payment fails and is not resolved within 7 days, access to the Service will be suspended. After 30 days from the date of suspension, your account will be permanently deleted.
If you believe you have been incorrectly charged, you must contact us at support@ordino.ca within 60 days of the charge date. Ordino will investigate all billing disputes in good faith and respond within 10 business days.
As a Canadian consumer, you may have statutory cancellation rights under applicable provincial consumer protection legislation:
To exercise a statutory cancellation right, contact us at support@ordino.ca with "Statutory Cancellation" in the subject line.
By linking a bank account through the Plaid interface, you expressly authorize and direct Ordino, acting as your limited agent, to electronically retrieve your account and transaction data from your financial institution via Plaid Technologies Canada Ltd. ("Plaid"). For this limited purpose only, you grant Ordino the power and authority to access your financial institution data as fully as you could in person, solely to retrieve and display that data within the Service.
You agree to Plaid's End User Privacy Policy (plaid.com/legal). Ordino and Plaid have read-only access to your data — neither can initiate, modify, or cancel transactions on your behalf.
Your banking credentials are entered directly into Plaid's interface and are never transmitted to or stored by Ordino.
You represent and warrant that you have the full legal right and authority to link any financial account you connect through the Service. You may only link accounts for which you are the account holder or have been duly authorized by the account holder.
Email verification codes, 2FA codes, password resets, billing receipts, security alerts, and account closure confirmations. These are exempt from CASL's consent requirements.
Product updates, feature announcements, and promotional content. You consent to these at signup via a separate opt-in checkbox. You can unsubscribe at any time using the link in any commercial email or via Settings > Notification Preferences. Unsubscribes are honoured within 10 business days. Every commercial email includes Ordino's legal name, physical address, and an unsubscribe link.
You may use the Service only for lawful personal, non-commercial purposes. You may not:
Subject to your compliance with these Terms, Ordino grants you a limited, personal, non-exclusive, non-transferable, revocable licence to access and use the Service for your personal, non-commercial purposes. All content, features, software, trademarks, and trade dress of the Service are the exclusive property of Ordino Technologies Inc. or its licensors. Nothing in these Terms grants you any ownership rights in the Service.
If you send us ideas, suggestions, or other feedback about the Service ("Feedback"), you assign all rights, title, and interest in that Feedback to Ordino. To the extent any assignment is ineffective, you grant Ordino a non-exclusive, perpetual, irrevocable, royalty-free, worldwide licence to use, reproduce, modify, and exploit the Feedback for any purpose, without restriction or compensation.
When you upload receipt photos or other files to the Service ("User Content"), you grant Ordino a limited, non-exclusive, royalty-free licence to store, display, process, and otherwise use that User Content solely to provide the Service to you. You retain all ownership rights in your User Content. You represent and warrant that: (a) you have all rights necessary to upload and licence such User Content; and (b) your User Content does not infringe any third-party intellectual property rights, privacy rights, or any applicable law. Your User Content is private to your account and is not visible to other users.
If you believe that content available through the Service infringes your copyright, please send a written notice to support@ordino.ca with "Copyright Complaint" in the subject line. Your notice must include: (a) identification of the copyrighted work you claim has been infringed; (b) identification of the allegedly infringing material; (c) your name, email address, and mailing address; and (d) a statement that you have a good-faith belief that the use of the material is not authorized. Ordino will investigate all valid notices received and, where appropriate, will remove or restrict access to the allegedly infringing material.
If you believe that content you uploaded was removed as a result of a copyright complaint made in error, you may send a written counter-notification to support@ordino.ca with "Copyright Counter-Notification" in the subject line. Your counter-notification must include: (a) your full legal name, email address, and mailing address; (b) identification of the material that was removed; (c) a statement under penalty of perjury that you have a good-faith belief that the material was removed as a result of mistake or misidentification; and (d) a statement that you consent to the jurisdiction of the courts of the Province of Ontario. Ordino will review all counter-notifications received in good faith.
The Service may contain links to third-party websites or services not owned or controlled by Ordino. We have no control over, and assume no responsibility for, any third-party website. Any dispute between you and a third party — including your bank, Plaid Technologies Canada Ltd., Stripe, Inc., RevenueCat, Inc., Apple Inc., Google LLC, or any other third-party service — is solely between you and that third party. To the fullest extent permitted by applicable law, you release Ordino and its officers, directors, employees, and agents from all claims arising out of any such dispute.
Ordino may modify, suspend, or discontinue any feature or portion of the Service at any time. We will provide reasonable advance notice of material changes that would adversely affect your use of the Service. Ordino is not liable to you or any third party for any modification, suspension, or discontinuation of the Service.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. ORDINO DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT DATA DISPLAYED IS ACCURATE OR CURRENT AT ALL TIMES.
To the extent that any jurisdiction prohibits the exclusion of implied warranties or the limitation of liability for consumer transactions, the disclaimers and limitations in this section apply only to the maximum extent permitted by the applicable law of that jurisdiction.
Transaction data displayed in the Service depends on data provided by Plaid from your financial institutions. Ordino is not responsible for the accuracy, completeness, or timeliness of data provided by Plaid or your financial institution.
Not for Financial Statements or Tax Filings: Transaction data and financial information displayed in the Service is not warranted to be error-free or suitable for use in audited financial statements, regulatory filings, or tax returns. The Service is not designed for accounting, tax preparation, or regulatory reporting purposes.
Past Performance: Financial data, spending trends, and savings insights reflect past activity only. Past performance does not guarantee or predict future results. You should not rely on historical financial trends as predictions of future financial outcomes.
You acknowledge that you have independently investigated the suitability of using the Service for your personal financial management needs and that you are not relying on any warranty, guarantee, or representation by Ordino other than those expressly stated in these Terms.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ORDINO, ITS DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE. ORDINO'S MAXIMUM AGGREGATE LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL SUBSCRIPTION FEES YOU PAID TO ORDINO IN THE 12 MONTHS BEFORE THE CLAIM; OR (B) CAD $100.
Some provinces do not allow certain warranty exclusions or liability limitations, so the above may not fully apply to you.
Ordino's service providers — including Amazon Web Services, Inc. (AWS), Plaid Technologies Canada Ltd., Stripe, Inc., and RevenueCat, Inc. — are intended third-party beneficiaries of the warranty disclaimers in Section 13 and the limitations on liability in this Section 14, to the extent those providers supply services used to operate the Ordino platform. Those providers may enforce those provisions directly against you.
You agree to indemnify and hold harmless Ordino, its officers, directors, employees, and agents from any claims, liabilities, damages, and expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your infringement of any third-party rights; or (d) any content you upload to the Service, including receipt photos and any other User Content.
These Terms are governed by the laws of the Province of Ontario and the applicable federal laws of Canada, without regard to conflict of laws principles.
If you have a dispute with Ordino, please contact us first at support@ordino.ca. We will attempt to resolve it informally within 30 days. If informal resolution fails, both parties agree to submit to the exclusive jurisdiction of the courts of the Province of Ontario. Ordino does not include mandatory arbitration clauses or class action waivers in its consumer agreements. Nothing in these Terms limits your right to participate in a class action proceeding or to bring claims in the courts of your province of residence.
You may close your account at any time through Settings > Account > Delete Account. Ordino may suspend or terminate your account without prior notice for breach of these Terms. Upon termination, your data handling follows the process described in our Privacy Policy Section 8.
Non-Fault Termination: If Ordino decides to terminate your account for reasons other than your breach (for example, by discontinuing the Service), Ordino will provide you with at least 30 days' prior written notice. This notice period does not apply where immediate suspension or termination is required to protect the security or integrity of the Service or to comply with applicable law.
Cooperation with Law Enforcement: Ordino reserves the right to investigate any violation or suspected violation of these Terms and to refer any matter involving suspected illegal conduct to applicable law enforcement authorities. Ordino reserves the right to fully cooperate with any law enforcement authority or court order directing us to disclose the identity or other information of any user.
We will notify you of material changes by email or in-app notification at least 30 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance. If you do not agree with changes, you may close your account.
You are responsible for maintaining a current, valid email address on file with Ordino. If a notification fails to reach you because of an outdated or inactive email address, you remain legally bound by any updated Terms once the applicable notice period has elapsed.
These Terms and our Privacy Policy constitute the entire agreement between you and Ordino regarding the Service and supersede all prior agreements.
Language: These Terms are drafted in English. If these Terms are translated into any other language for your convenience, the English language version governs in the event of any conflict.
No Agency or Partnership: Nothing in these Terms creates any agency relationship (except the limited agency in Section 6 solely for Plaid bank account linking), partnership, joint venture, employment, or franchise relationship between you and Ordino.
UN Convention: The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms or to the Service.
Interpretation: Unless the context otherwise requires, the word "including" is used in a non-exhaustive sense and means "including without limitation."
Protected Activity: Nothing in these Terms limits or restricts your right to file a complaint with, cooperate with, or participate in any investigation or proceeding conducted by a government agency or regulatory authority, including the Office of the Privacy Commissioner of Canada (OPC) or the Financial Services Regulatory Authority of Ontario (FSRA).
Tax Responsibility: You are solely responsible for determining, paying, withholding, filing, and reporting all taxes, duties, and levies associated with your access to or use of the Service, independently of any applicable HST/GST charged directly on your Ordino subscription.
If any provision of these Terms is found to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, that provision will be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. The remaining provisions will continue in full force and effect. No waiver by Ordino of any breach or default under these Terms will constitute a waiver of any subsequent breach or default.
